ExxonMobil has entered exclusive talks to sell its 82.89% stake in Esso S.A.F. to North Atlantic France SAS, the French arm of Canada’s North Atlantic. The deal, expected to close in Q4 2025, values Esso shares at €149.19 before distributions, or €32.83 after planned payouts, including a proposed €63.36 per share distribution. Following the sale, North Atlantic will launch a mandatory tender offer for the remaining shares, likely in Q1 2026. North Atlantic plans to maintain employment and transform Esso’s Gravenchon refinery into a green energy hub. ExxonMobil will continue crude supply and licensing, ensuring operational continuity.
